Chief Legal & Risk Officer / Corporation Secretary

The Role

• Serve as the organisation’s lead adviser on legal affairs, corporate governance, and enterprise risk, reporting administratively to the Chief Executive Officer and providing functional support to the Board and its relevant committees.

• Provide hands-on legal leadership throughout the investment cycle, covering project origination, development, structuring, contracting, financing, construction, operations, portfolio management, restructuring, and exit.

• Personally handle the analysis, structuring, drafting, negotiation, and management of complex transactions and project documentation, while working closely with senior management.

• Partner with the Chief Investment Officer, Chief Financial & Operating Officer, Chief Engineer, and other executives to provide independent legal and risk oversight.

• Support the Governing Council, Board of Directors, and Board Committees in meeting their statutory and governance obligations.

• Promote strong standards of governance, accountability, integrity, transparency, and effective risk management across the organisation.

Qualifications and Experience

• Bachelor’s degree in Law (LL.B) from a recognised university.

• Must be an Advocate of the High Court of Kenya with a valid practising certificate.

• Current membership in good standing with the Law Society of Kenya.

• Certified Secretary qualification and membership in good standing with the Institute of Certified Secretaries (ICS), with the professional standing required to serve as Corporation Secretary.

• A Master’s degree in Law, Finance, Business Administration, or another relevant discipline is an added advantage.

• Additional recognised professional qualifications in governance, risk, finance, or investment are also advantageous.

• At least 10 years of progressively senior legal experience, with substantial exposure to corporate and commercial transactions, infrastructure, project finance, banking, investment funds, private equity, capital markets, or development finance.

• Minimum 5 years at senior leadership level, preferably gained as a Partner or senior transactional/project finance lawyer, General Counsel, Chief Legal Officer, Head of Legal, or equivalent senior role with direct responsibility for complex transactions.

Essential Experience

• Demonstrated personal involvement in structuring, drafting, negotiating, and completing major infrastructure, investment, or financing transactions.

• Experience taking infrastructure projects through preparation, development, bankability assessment, and financial close.

• Practical exposure to non-recourse and limited-recourse project financing.

• Experience negotiating major construction or EPC contracts, preferably those based on FIDIC standards.

• Ability to handle concessions, leases, implementation agreements, offtake or revenue arrangements, O&M agreements, and other significant infrastructure contracts.

• Experience negotiating financing documentation with commercial banks, development finance institutions, and other sophisticated lenders.

• Strong background in equity investments, shareholder agreements, joint ventures, and investment special-purpose vehicles.

• Experience conducting legal due diligence and evaluating transaction-related risks.

• Ability to manage legal conditions precedent and coordinate transactions through financial close.

• Experience working with government agencies and securing statutory and regulatory approvals for major commercial or infrastructure projects.

• Proven ability to manage local and international external legal advisers on complex transactions.

• Experience handling major contractual claims, disputes, arbitration, and other dispute-resolution matters.

• Exposure to portfolio management, restructuring, refinancing, and investment exits.

• Experience advising Boards and Board Committees at executive level.

• Proven corporate secretarial and governance experience.

• Background in infrastructure, project finance, investment management, private equity, development finance, banking, capital markets, or institutional investment will be highly relevant.

Chief Engineer

Qualifications and Experience

• Bachelor’s degree in Engineering from a university recognised in Kenya.

• A Master’s degree in Engineering, Construction Management, Project Management, Law, or Infrastructure Finance is an added advantage.

• Registration with the Engineers Board of Kenya (EBK) as a Professional Engineer is mandatory.

• Membership of the Institution of Engineers of Kenya (IEK) or another recognised professional engineering body is required.

• At least 15 years of professional experience in engineering, infrastructure investment, or project management.

• Minimum 7 years in senior leadership positions with direct accountability for developing and/or delivering major and complex infrastructure projects.

• Excellent spoken and written English is required.

• Knowledge of Kiswahili is an added advantage, particularly when working with local communities and stakeholders.

Chief Investment Officer

The Role

• Provide overall technical, commercial, and investment leadership for the Fund’s investment activities.

• Oversee the entire investment process, from sourcing and developing projects through appraisal, structuring, approval, financing, financial close, deployment, portfolio management, value creation, exit, and recycling of capital.

• Convert the Fund’s Investment Policy Statement into practical portfolio construction and capital allocation strategies.

• Ensure investments deliver appropriate risk-adjusted financial returns while supporting the Fund’s national development objectives.

• Lead efforts to attract third-party capital from local and international institutional investors, financial institutions, and capital markets.

• As part of the founding senior leadership team, establish the people, systems, processes, standards, and investment discipline required to develop the Fund into a leading infrastructure investment institution.

Qualifications and Experience

• Bachelor’s degree in Finance, Economics, Business Administration, Accounting, Engineering, Law, or another relevant discipline from a recognised university.

• Master’s degree and/or professional qualifications such as CFA, CPA, ACCA, CA, or equivalent will be an added advantage.

• At least 10 years of relevant experience in investment management, infrastructure, private equity, project finance, investment banking, development finance, or a related investment field.

• Minimum 5 years in a senior investment leadership position such as Chief Investment Officer, Head of Investments, Investment Director, Partner, or equivalent.

• Demonstrated responsibility for transaction execution, portfolio performance, and leading investment teams.

Chief Financial & Operating Officer

Qualifications and Experience

• Bachelor’s degree in Accounting, Finance, Economics, Business Administration, or another relevant discipline from a recognised university.

• Professional accounting qualification such as CPA, ACCA, CA, or an equivalent credential, together with membership in good standing of the relevant professional body.

• A Master’s degree in Finance, Business Administration, Economics, Accounting, or another related discipline is an added advantage.

• At least 10 years of progressive experience across finance, accounting, treasury, investment operations, fund administration, or related areas.

• Minimum 5 years in a senior financial leadership position such as Chief Financial Officer, Finance Director, Chief Operating Officer, Head of Finance, or an equivalent role.
