Corporate Counsel
Position Summary
RPM Living is seeking a Corporate Counsel to join its Legal Department and provide practical, business-focused legal support across a broad range of corporate matters. The position will serve as a legal generalist, with primary responsibility for commercial contracts while also assisting with disputes, litigation, corporate governance, compliance, and other legal matters.
The Corporate Counsel will partner with senior legal professionals and teams throughout the organization to identify legal concerns, manage risk, and provide advice that supports business priorities. The role offers increasing independence and responsibility while requiring strong judgment about when matters should be escalated or referred for additional legal guidance.
Key Responsibilities
Draft, review, negotiate, and administer commercial agreements such as property management contracts, confidentiality agreements, master service agreements, construction contracts, amendments, assignments, and other business agreements.
Advise internal teams on contractual obligations, rights, commercial relationships, operational concerns, and routine legal issues.
Examine agreements and legal documents received from owners, clients, suppliers, and other third parties, identifying significant terms, obligations, potential risks, and recommended courses of action.
Assist with litigation, pre-litigation disputes, regulatory matters, investigations, and other contested issues by coordinating with external counsel, collecting relevant information, researching legal issues, and supporting case strategy and resolution.
Provide support for corporate governance and entity management activities, including corporate approvals, organizational records, entity formation and qualifications, and related documentation.
Help create, maintain, and improve legal templates, forms, playbooks, reference materials, workflows, and departmental procedures.
Coordinate and monitor contracts, legal requests, projects, and other matters to ensure they are completed accurately and within established deadlines.
Contribute to special assignments involving legal transactions, compliance, employment matters, insurance, risk management, governance, and other areas as required.
Education and Experience
Juris Doctor (J.D.) degree from an accredited law school in the United States.
Active license to practice law and good standing in at least one U.S. jurisdiction.
At least three years of relevant experience as an attorney in a law firm, corporate legal department, or similar setting.
Background in real estate, property management, multifamily housing, or a related sector is advantageous but not mandatory.
Solid understanding of commercial contract principles, including drafting, interpretation, negotiation, structure, and allocation of risk.
Strong legal research, analytical, and problem-solving capabilities.
Excellent contract drafting and review skills with careful attention to detail.
Ability to understand commercial objectives and balance legal considerations with operational requirements and business realities.
Good judgment when determining which matters can be handled independently and which require escalation or additional legal review.
Excellent written and verbal communication skills, including the ability to explain legal matters in straightforward language to non-legal colleagues.
Strong organizational and project management abilities, with the capacity to prioritize multiple matters and consistently meet deadlines.
Ability to work independently while collaborating effectively with attorneys, business leaders, and cross-functional teams.
Demonstrated initiative, curiosity, sound judgment, and willingness to expand knowledge into new areas of law.
Ability to establish effective working relationships and provide responsive legal support to internal stakeholders.
High standards of professionalism, integrity, confidentiality, and discretion.
Proficiency with Microsoft Office and Adobe Acrobat.
Familiarity with contract lifecycle management, matter management, electronic signature systems, or other legal technology is preferred.
Physical Requirements
Ability to remain seated or standing for extended periods.
Ability to read documents, computer displays, and other data.
Ability to communicate and understand information through in-person, telephone, and computer-based conversations.
May occasionally need to move or carry office materials or files weighing up to 15 pounds.
Ability to operate computers, keyboards, mice, and standard office equipment.
Work Environment
The position may be structured as hybrid or remote.
Hybrid employees may be expected to work from a corporate or regional office three or four days each week, depending on management requirements.
Office locations may involve open workspaces with lighting, background noise, and other potential distractions.
Quarterly overnight travel may occasionally be required.
Remote employees must live and work within the United States, subject to location restrictions, maintain a dedicated work area and reliable secure broadband connection, and work regular hours aligned with an applicable U.S. time zone.
