Key Responsibilities
Serve as the principal legal advisor by providing timely legal guidance to management and all business units on operational and strategic matters.
Prepare, review, negotiate, and interpret contracts, agreements, and other legal instruments to protect the Bank's interests and ensure legal compliance.
Support the Company Secretary in promoting effective corporate governance by coordinating Board and committee activities, maintaining statutory records, filing regulatory returns, and preparing meeting notices, agendas, minutes, and resolutions.
Draft, review, and facilitate the execution and registration of security documentation, including charges, transfers, guarantees, chattel mortgages, licenses, and other legal instruments.
Develop, update, and standardize legal templates, policies, and governance documents to improve operational efficiency and consistency.
Conduct legal research on legislative developments, regulatory changes, and industry trends, and prepare legal opinions, briefs, and advisory reports to inform decision-making.
Compile and present periodic legal and compliance reports for management and other stakeholders.
Identify potential legal and regulatory risks associated with business initiatives and recommend practical risk mitigation measures.
Promote compliance with applicable laws, regulatory requirements, and internal governance policies to minimize legal exposure.
Manage disputes and litigation by working closely with external advocates, monitoring case progress, and ensuring matters are resolved efficiently while protecting the Bank's interests.
Represent the Bank before courts, tribunals, regulatory bodies, and other dispute resolution forums as required.
Safeguard and maintain the confidentiality, integrity, and proper custody of the Bank's legal records and security documents.
Lead, mentor, and evaluate junior legal staff by providing guidance, performance feedback, and professional development opportunities.
Undertake any additional responsibilities assigned in support of the Legal Department's objectives.
Minimum Qualifications and Experience
Applicants should meet the following requirements:
Bachelor's degree in Law (LL.B.) from a recognized university.
Postgraduate Diploma in Legal Studies from the Kenya School of Law.
Admission as an Advocate of the High Court of Kenya with a valid practicing certificate.
Active membership in the Law Society of Kenya (LSK).
A minimum of three (3) years' relevant experience in a Legal Officer role or a comparable legal position.
Certification as a Certified Public Secretary (CPS-K) will be considered an added advantage.
Proficiency in standard computer applications.
Demonstrated record of strong performance, sound professional judgment, and the ability to achieve results.
Compliance with the leadership and integrity requirements under Chapter Six of the Constitution of Kenya.
