Job Purpose Statement
The Legal Counsel – Conveyancing will be responsible for protecting and promoting Username’s legal interests by providing comprehensive legal guidance across its business activities. The position will have a primary focus on conveyancing, property transactions, land acquisitions, due diligence, and ensuring that property ownership transfers are completed smoothly and in accordance with the law.
The role will also provide legal support on financial matters, intellectual property, and Username Sacco activities. The successful candidate will identify and manage legal and regulatory risks, advise management on emerging legal matters, and support the drafting, review, negotiation, and execution of legal and commercial agreements. Where necessary, the position will also represent the company in legal proceedings.
Key Duties and Responsibilities
Acquisitions, Conveyancing and Subdivisions
Follow up and coordinate property transfers through the relevant lands registries.
Monitor subdivision activities and ensure they are completed within the required timelines.
Keep project files properly organized and ensure all required completion documents are available and updated.
Confirm that individual project titles are prepared and readily available when required.
Work with the documentation team to obtain the necessary clearances for transferring titles to clients and project land to Username Properties Ltd.
Support the preparation of letters of offer relating to lease acquisitions.
Carry out official property searches and other due diligence on prospective lease and property purchases.
Examine conveyancing documents prepared by external legal counsel and confirm that their terms are accurate and appropriate.
Advise the business on the legal procedures, requirements, and documentation involved in property disposals.
Maintain and regularly update the monthly commercial agreements report.
Legal Advisory – Username Properties Ltd and Username Sacco
Ensure that the relevant business units operate in accordance with applicable laws and regulatory requirements.
Examine commercial contracts and other important legal documents before execution.
Assist in developing and reviewing company policies and standard operating procedures.
Provide legal guidance on matters affecting Username Properties Ltd and Username Sacco.
Keep departmental heads and senior management updated on important legal, regulatory, governmental, and market developments that could affect business operations.
Assist management in addressing contractual and legal challenges while recommending suitable measures to minimize associated risks.
Litigation and Dispute Resolution
Receive, review, and coordinate responses to court summons, pleadings, demand letters, and other legal notices issued against the company.
Oversee the management of court matters and other legal proceedings involving the company.
Work closely with external advocates to coordinate litigation and secure effective legal representation.
Maintain an accurate schedule showing all active court cases, their status, and upcoming hearing dates.
Advise management on appropriate dispute resolution options and measures for reducing legal exposure.
Ensure that the company is represented in court by duly qualified advocates whenever required.
Follow up on the progress of legal cases and prepare monthly litigation updates for the CEO and Directors.
Partnerships and Commercial Agreements
Undertake legal and commercial due diligence on potential partners before partnership arrangements are finalized.
Prepare, review, negotiate, and provide legal advice on partnership proposals, MOUs, SLAs, influencer agreements, advertising arrangements, and other related contracts.
Review existing partnerships to evaluate contractual compliance, performance, commercial benefits, and potential legal exposure.
Maintain an accurate and secure Partnerships Register containing important contractual details and renewal dates.
Track partnership agreements and coordinate their renewal, amendment, or termination with management and the relevant departments.
Advise management on contractual responsibilities, potential liabilities, legal risks, and measures necessary to protect the company’s interests.
Legal Documentation, Records and Filing
Maintain well-organized and secure records covering legal matters, conveyancing transactions, litigation, and contracts.
Ensure original title deeds and other important legal documents are properly secured and controlled.
Maintain all required legal registers and systems used for tracking documents and legal matters.
Ensure litigation, contracts, partnerships, conveyancing matters, and other relevant registers are updated promptly and accurately.
Training and Compliance Awareness
Conduct staff training on legal and regulatory requirements applicable to their respective responsibilities.
Educate employees on business principles, legal risk management, company policies, and relevant procedures.
Undertake any other responsibilities assigned by management from time to time.
Qualification and Experience Requirements
Bachelor of Laws (LL.B) degree.
Postgraduate Diploma from the Kenya School of Law.
Admission as an Advocate of the High Court of Kenya with a valid practicing certificate.
At least five years of experience serving as in-house legal counsel within a corporate organization, preferably within the real estate industry.
Strong practical knowledge of conveyancing processes, including title searches, property transfers, and related transactions.
Demonstrated experience handling litigation and dispute resolution involving land and property.
Proven capacity to provide strategic legal advice and support to senior management.
Practical experience in corporate governance, regulatory compliance, legal risk management, and the preparation and negotiation of high-value contracts.
Thorough knowledge of Kenyan land legislation, planning requirements, and real estate transactions.
